Terms of Service

These Terms of Service ("Terms") are an agreement between you and Hugoniot Labs LLC, a New York limited liability company ("Hugoniot Labs," "we," "us," or "our"). They govern your use of the Noodl mobile app, website, and related services (together, "Noodl").

By creating an account or using Noodl, you agree to these Terms. If you don't agree, please don't use Noodl. Our Privacy Policy explains how we handle your information.

Please read Sections 16 through 19 carefully. They disclaim warranties, limit our liability, require you to cover certain claims against us, and set out how and where disputes are resolved.

1. Who can use Noodl

You must be at least 18 years old to create an account or use Noodl. Noodl is currently offered in the United States. By using Noodl, you confirm that you meet these requirements, that you can form a binding contract with us, and that you are not barred from using Noodl under U.S. law or because we previously suspended your account.

2. Your account

You need an account to use most of Noodl. Please give us accurate information and keep your sign-in credentials secure. You're responsible for activity that happens under your account, so tell us promptly if you think someone else has accessed it. Accounts are for one person each; don't share or transfer yours.

3. Your license to use Noodl

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Noodl app on devices you own or control, and to use our website and services, for your own personal, non-commercial use. We reserve all rights not expressly granted to you.

4. Your content

You own your content. You keep ownership of the recipes, plans, lists, photos, notes, and other content you add to Noodl ("your content").

License to us. To run Noodl, we need permission to handle your content. You grant Hugoniot Labs a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt (for example, reformatting a recipe or turning a photo into structured ingredients), and display your content, solely to operate and provide Noodl for you and your household, keep it secure, and improve it. This includes allowing our service providers, including AI providers, to process it on our behalf. We don't sell your content, and we don't show your private content to other users.

Content you share with other users. If you publish content to Discover or otherwise choose to make it available to other users, the license above also allows us to display and distribute that content to other users within Noodl, and allows those users to view it, save it to their own collections, and cook from and adapt it for their personal, non-commercial use.

When the license ends. The license ends when you delete the content or your account, except that (a) content you added to a shared household stays available to that household, (b) copies that other users already saved from Discover stay in their collections, and (c) copies may remain in our backups for a limited time.

Your responsibility. You're responsible for your content. You promise that you have the rights needed to add it to Noodl and to grant the license above, and that it doesn't break the law or violate anyone's rights.

Imported recipes. When you import a recipe from a website, social media post, or other source, you are directing Noodl to retrieve and save that content for your own personal use. Importing a recipe doesn't give you or us ownership of it; the rights stay with whoever holds them. Where we can, we keep a link back to the source. Keep imported recipes for personal, non-commercial use, and don't republish them, in Discover or anywhere else, unless you have the right to.

Removal. We may remove or restrict content that we believe violates these Terms or the law. We aren't required to keep backups of your content, so keep your own copies of anything important.

5. Household sharing

Noodl lets you share a kitchen with other people. Everyone in a household can view, change, and delete the household's shared recipes, meal plan, and grocery list. Content you add to a household stays with it if you leave or delete your account. Only invite people you trust, and only join households you want to share with.

6. Community standards for shared content

Some content in Noodl is visible to other people, including recipes published to Discover (our public recipe feed) and anything you share with your household. The following standards govern that content. By submitting or sharing content, you agree to them.

Zero tolerance for objectionable content

You agree not to submit, post, or share any content that is objectionable, abusive, harassing, threatening, defamatory, obscene, sexually explicit, hateful, discriminatory, violent, illegal, or that infringes the rights of others, and not to harass, abuse, or harm other users. We have zero tolerance for objectionable content and abusive behavior. We may remove any content and suspend or terminate any account that violates these standards, at our discretion and without prior notice.

Reporting and blocking

If you encounter content or a user you believe violates these standards, you can report it directly in the app using the report controls on shared content, and you can block a contributor to stop seeing their content. You may also contact us at hugoniotlabs@gmail.com. We review the reports we receive.

Our response to reports

We act on reports of objectionable content within 24 hours by removing the offending content and, where warranted, ejecting the responsible user by suspending or terminating their account. Content that receives multiple reports may be removed from the public feed automatically, pending review.

Filtering

We use automated filtering to screen content before it appears in the public feed. No filtering system is perfect, and filtering does not guarantee that all objectionable content is prevented; the reporting and removal process above operates alongside it.

Creators

If you take part in our creator program and publish to Discover, additional creator terms apply alongside these Terms.

7. Acceptable use

You agree not to:

• break the law, or infringe or violate anyone's rights, including their privacy and intellectual property rights;
• upload content that is harmful or unlawful, or that violates Section 6;
• disrupt, overload, probe, or gain unauthorized access to Noodl or the systems behind it;
• reverse engineer, decompile, or copy Noodl, except where the law allows it despite this restriction;
• access Noodl with bots, scrapers, or other automated means, or harvest other users' content or data;
• bypass paywalls, usage limits, content filters, or other technical protections;
• resell, sublicense, or commercially exploit Noodl without our written permission;
• use AI features to generate content that is unlawful, harmful, or deceptive, or try to get around their safety measures; or
• impersonate anyone, or create accounts by automated means.

8. Copyright complaints

We respect intellectual property rights and respond to notices of claimed infringement under the U.S. Digital Millennium Copyright Act (DMCA).

Filing a notice. If you believe content in Noodl infringes your copyright, send our copyright agent a written notice that includes:

1. your physical or electronic signature (or that of someone authorized to act for the copyright owner);
2. identification of the copyrighted work you say is infringed;
3. identification of the material you say is infringing, with enough detail for us to find it in Noodl;
4. your name, mailing address, telephone number, and email address;
5. a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
6. a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner's behalf.

Counter-notice. If we removed your content and you believe that was a mistake or misidentification, you may send our copyright agent a counter-notice that includes: your physical or electronic signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any district in which Hugoniot Labs may be found) and that you will accept service of process from the person who filed the original notice. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the complaining party tells us it has filed a court action.

Repeat infringers. In appropriate circumstances, we terminate the accounts of users who repeatedly infringe.

Misrepresentations. Anyone who knowingly makes a material misrepresentation in a notice or counter-notice may be liable for damages under Section 512(f) of the U.S. Copyright Act.

9. Subscriptions and billing

Noodl is free to download and has a free plan. Some features require a paid subscription.

• Introductory access. New accounts may receive temporary access to paid features at no charge. When that period ends, your account moves to the free plan automatically. You are not charged unless you choose to subscribe.
• Price and payment. The price and billing period are shown before you buy. Subscriptions are billed through the Apple App Store (or Google Play, where Noodl is available there), and payment is charged to your store account when you confirm the purchase.
• Automatic renewal. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your store account is charged for renewal within 24 hours before the current period ends.
• Cancelling. You manage and cancel subscriptions in your App Store or Google Play account settings. When you cancel, you keep paid access until the end of the period you've already paid for. Deleting the app or deleting your Noodl account does not cancel a subscription.
• Trials and offers. If we offer a free trial or introductory price, its terms are shown when you sign up. Unless you cancel at least 24 hours before it ends, it converts to a paid subscription at the price shown.
• Price changes. We may change our prices. If the price of your subscription changes, you'll be told in advance as the app store requires, and where required you'll need to accept the new price to keep subscribing.
• Refunds. Purchases are processed by the app store, which handles refund requests under its own policies. Except where the law requires otherwise, we don't provide refunds or credits for partly used subscription periods.

10. Recipes and AI-generated content

Noodl uses automated tools and AI, including third-party AI models, to import, read, generate, and organize recipes and to suggest meal plans. The Privacy Policy explains what is sent to our AI provider.

• AI and imported content can be wrong. Recipes, quantities, cooking times and temperatures, ingredient recognition from photos, nutrition figures, and allergen information may be inaccurate or incomplete. Nutrition figures are estimates.
• Use your own judgment, especially regarding allergens, dietary restrictions, food safety, and cooking temperatures. Check ingredient labels yourself, and follow safe food-handling guidance.
• Not professional advice. Noodl is not a substitute for professional, medical, or nutritional advice. If you have a food allergy, a medical condition, or special dietary needs, talk to a qualified professional and don't rely on Noodl.
• Output isn't unique. AI may generate the same or similar content for other users, so you don't receive exclusive rights in AI output. You're welcome to use the recipes and plans Noodl generates for you for personal purposes.
• Limits. We may set usage limits on AI features.

11. Grocery partners and affiliate links

Noodl can send your grocery list to third-party partners (such as Instacart) so you can shop. Those purchases happen on the partner's own platform and are subject to the partner's terms, pricing, availability, substitutions, and privacy policy; we're not responsible for them. Some of these links may be affiliate links, and Noodl may earn a commission when you shop through them, at no additional cost to you.

12. Third-party services and terms

Noodl works with and links to services we don't control, including sign-in providers, the app stores, grocery partners, and the websites and social platforms you import recipes from. Your use of those services is governed by their own terms and privacy policies. You're responsible for complying with any third-party terms that apply when you use Noodl, including those of the platforms you import from and your mobile carrier's data plan. We aren't responsible for third-party services or their content.

13. Our intellectual property and third-party trademarks

Noodl, including the app, website, software, design, text, graphics, and the Noodl name and logo, is owned by Hugoniot Labs or its licensors and is protected by intellectual property laws. Except for the limited license in Section 3, we reserve all rights.

Store, brand, and product names referenced in Noodl are trademarks of their respective owners and are used for identification only. Their use does not imply endorsement.

14. Feedback

We welcome ideas and suggestions. If you send us feedback, you grant us a perpetual, worldwide, royalty-free license to use it for any purpose, without any obligation or payment to you.

15. Changes to Noodl

We're always working on Noodl. We may add, change, or remove features, set usage limits, or suspend or discontinue Noodl altogether. We'll try to give reasonable notice of changes that materially reduce what a paid subscription includes. We don't guarantee that Noodl will always be available; maintenance and outages happen. We provide support by email on a reasonable-efforts basis.

16. Disclaimers

Noodl is provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, Hugoniot Labs disclaims all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We don't guarantee that Noodl will be uninterrupted, secure, or error-free; that recipes (whether imported, shared by other users, or generated by AI), nutrition information, allergen information, or grocery prices and availability will be accurate, complete, or safe; or that your content will be preserved without loss. You are responsible for deciding whether a recipe or ingredient is safe and suitable for you and the people you cook for.

Some jurisdictions don't allow certain warranty disclaimers, so parts of this section may not apply to you, and you may have additional rights.

17. Limitation of liability

To the fullest extent permitted by law:

• Hugoniot Labs and its owners, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to Noodl or these Terms, whatever the legal theory and even if we've been told such damages are possible.
• Our total liability for all claims arising out of or relating to Noodl or these Terms will not exceed the greater of (a) the amount you paid us for Noodl in the 12 months before the event giving rise to the claim, or (b) US $50.

Nothing in these Terms limits liability that cannot be limited under applicable law. Some jurisdictions don't allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Hugoniot Labs and its owners, employees, and contractors from third-party claims, damages, and costs (including reasonable attorneys' fees) arising from (a) your content, (b) your violation of these Terms, or (c) your violation of the law or of someone else's rights. We'll tell you about any such claim. We may choose to take control of the defense, in which case you agree to cooperate with us.

19. Disputes and governing law

Talk to us first. Most concerns can be resolved quickly by emailing hugoniotlabs@gmail.com. Before either of us files a legal claim, the one raising the dispute will send the other a written description of it (we'll use your account email address), and we'll both try in good faith to resolve it for at least 30 days.

Governing law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. If you are a consumer, this does not deprive you of any protection that the law where you live says cannot be waived.

Where disputes are heard. Any dispute arising out of or relating to these Terms or your use of Noodl that isn't resolved informally will be brought exclusively in the state or federal courts located in Monroe County, New York, and you and we consent to the jurisdiction of those courts. As an exception, either of us may bring a qualifying claim in small claims court in Monroe County or in the county where you live.

20. Termination

By you. You may stop using Noodl at any time and delete your account from Profile → Delete account. Remember to cancel any subscription separately (see Section 9).

By us. We may suspend or end your access to Noodl, or remove content, if you violate these Terms, if the law requires it, or if your use creates risk or legal exposure for other users or for us. Where reasonable, we'll give you notice.

What survives. Sections that by their nature should continue after termination do so, including the content license terms that outlast deletion (Section 4) and Sections 13, 14, 16 through 19, 22, and 23.

21. Changes to these Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes we'll notify you in the app or by email before they take effect. If you keep using Noodl after updated Terms take effect, you accept them. If you don't agree, stop using Noodl and cancel any subscription.

22. Additional terms for the Apple App Store

If you downloaded Noodl from the Apple App Store, the following also applies:

• Parties. These Terms are between you and Hugoniot Labs only, not Apple. Hugoniot Labs, not Apple, is solely responsible for Noodl and its content.
• Scope of license. Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
• Maintenance and support. Apple has no obligation to provide maintenance or support services for Noodl.
• Warranty. If Noodl fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Noodl, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility, subject to these Terms.
• Product claims. Hugoniot Labs, not Apple, is responsible for addressing any claims by you or a third party relating to Noodl or your possession or use of it, including product liability claims, claims that Noodl fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar laws.
• Intellectual property claims. If a third party claims that Noodl, or your possession and use of it, infringes its intellectual property rights, Hugoniot Labs, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
• Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party terms. You must comply with applicable third-party terms of agreement when using Noodl.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple has the right (and is deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
• Questions and complaints. Direct any questions, complaints, or claims about Noodl to us using the contact details in Section 24.

23. General

• Entire agreement. These Terms, together with any additional terms we present for specific features, are the entire agreement between you and us about Noodl and replace any earlier agreements on the subject.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver. If we don't enforce a provision, that isn't a waiver of our right to do so later.
• Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.
• Notices. We may send you notices by email to the address on your account or through the app, and you agree that these electronic communications satisfy any legal requirement that a notice be in writing. Send notices to us at the email address in Section 24.
• Export and sanctions. You agree to comply with U.S. export control and sanctions laws when using Noodl.
• Events beyond our control. We aren't liable for delays or failures caused by events beyond our reasonable control.
